1. Agreement to terms
By accessing or using Sidepool ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
Sidepool is operated by Sidepool LLC, a Michigan limited liability company ("we," "us," "our").
2. Description of service
Sidepool is a web application that allows groups of friends to create private prediction markets for social events. Users can create pools, post binary (Yes/No) or multiple-choice questions, place bets using a virtual ledger, and settle debts off-platform.
Sidepool is a scorekeeper. The Service tracks bets and calculates what users owe each other. It does not hold, transmit, process, or take custody of any money, cryptocurrency, or other financial instruments. All monetary settlements between users occur entirely outside of Sidepool (e.g., via Venmo, Cash App, or cash).
3. Eligibility
You must be at least 18 years old to use Sidepool. By using the Service, you represent and warrant that you are at least 18 years of age.
4. Account registration
To use Sidepool, you must create an account by providing your name and phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
You agree to provide accurate and complete information when creating your account and to update it as necessary.
5. User roles and responsibilities
Members
Members can join pools, place bets, create and respond to cash-out offers, and suggest markets. Members are responsible for settling their debts with other members outside of the Service.
Commissioners
Commissioners create and manage pools, post markets, and resolve market outcomes. In pools where the commissioner has opted to bet, the commissioner may also place bets; in such pools, the rake is automatically set to 0%.
Commissioners are responsible for resolving markets honestly and in good faith. Sidepool does not arbitrate disputes between commissioners and members regarding market resolutions.
6. Nature of the service — not gambling
Sidepool provides a ledger and calculation tool for social wagering among friends. The Service:
- Does not accept, hold, or transmit money or anything of monetary value.
- Does not operate as a gambling platform, sportsbook, casino, or prediction market exchange.
- Does not facilitate transactions between users.
- Does not guarantee that users will settle their debts.
Users are solely responsible for ensuring that their use of Sidepool complies with all applicable local, state, and federal laws regarding social wagering in their jurisdiction. Laws regarding social betting vary by location. Sidepool makes no representation that use of the Service is legal in any particular jurisdiction.
7. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Impersonate any person or entity.
- Attempt to gain unauthorized access to the Service or its systems.
- Interfere with or disrupt the Service or its infrastructure.
- Use the Service to harass, abuse, or harm other users.
- Use automated tools (bots, scrapers, etc.) to access the Service without our written permission.
- Attempt to manipulate the matching engine, exploit software bugs for unfair advantage, or circumvent exposure limits.
We reserve the right to suspend or terminate accounts that violate these Terms.
8. User content
You retain ownership of any content you submit to Sidepool (e.g., market questions, suggestions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the Service for the purpose of operating the product.
You are solely responsible for the content you submit. Do not post content that is illegal, defamatory, threatening, or that infringes on the rights of others.
9. Intellectual property
The Service, including its design, code, and branding, is owned by Sidepool LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission.
10. Account deletion
You may delete your account at any time through the app. Upon deletion:
- Your personal information (name, phone number, profile photo) is permanently removed.
- Your transactional history is anonymized (replaced with "Deleted User") to preserve the integrity of other users' records.
- Open orders are cancelled and open positions are voided.
- This action is irreversible.

11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy of any calculations, settlement amounts, or ledger entries, though we make commercially reasonable efforts to ensure correctness.
Sidepool does not guarantee that users will honor their debts. The Service calculates what users owe each other; it cannot compel payment. Settlement is entirely between users.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEPOOL LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold harmless Sidepool LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law.
14. Dispute resolution
Any disputes arising from these Terms or your use of the Service shall be governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Michigan.
For disputes between users (e.g., disagreements about market resolutions or unsettled debts), Sidepool is not a party and has no obligation to mediate, arbitrate, or resolve such disputes.
15. Modifications to the service
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
16. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by updating the "Last updated" date above. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
18. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sidepool LLC regarding your use of the Service.
